Acceptance of terms

These Terms & Conditions (the "Terms") form a legally binding contract between you ("User", "you") and UtillPay Technologies Private Limited ("UtillPay", "we", "our", "us"). By creating an account, accessing utillpay.com, downloading the UtillPay mobile application, or using any of our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, please do not use the Platform.

Definitions

• "Platform" means the utillpay.com website, mobile applications, APIs and any related services.
• "Services" means mobile & DTH recharges, BBPS bill payments, credit card bill settlement, travel bookings, FASTag, subscriptions and the Ambassador (affiliate) program.
• "Biller" means the third-party service provider whose bill is being paid, e.g. mobile operators, utility companies, banks.
• "Ambassador" means a User who has joined the UtillPay affiliate program.
• "BBPS" means Bharat Bill Payment System operated by NPCI Bharat BillPay Ltd.

Eligibility & account

• You must be at least 18 years old and legally capable of entering a contract under the Indian Contract Act, 1872.
• You must be a resident of India for KYC and payment-settlement purposes, unless the specific service is available cross-border.
• You agree to provide accurate, current and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials, MPIN, OTPs and biometric identifiers. You will notify us immediately at security@utillpay.com of any unauthorised use.
• One person may hold only one active UtillPay account. Duplicate or fraudulent accounts will be suspended and any commissions forfeited.

Services offered

Recharge & bill payments

UtillPay acts as a technology facilitator to help you pay Billers. Once a transaction is submitted, it is generally irrevocable. UtillPay does not guarantee delivery of the service by the Biller (e.g. minutes credited by a telecom operator) — that responsibility lies with the Biller.

Credit card bill payments

Payments to credit card issuers are processed via NPCI's BBPS or the bank's own settlement channel. Credit posting to your card statement can take up to 3 working days, depending on the issuer.

Travel bookings

Flights, trains, buses and hotels are provided by third-party inventory partners. Booking, cancellation and refund policies of the underlying operator or aggregator apply. UtillPay's service is limited to facilitating the booking.

Fees & charges

• Creating an account and browsing the Platform is free.
• Convenience fees, platform charges, payment-gateway charges and applicable GST may be levied on specific transactions. All such charges are disclosed on the payment confirmation screen before you complete the transaction.
• Cashback, offers and coupon codes are subject to stated terms and can be withdrawn or modified at any time.
• Fees are non-refundable except as expressly stated in section 6.

Refund & cancellation

• If your payment is debited but the transaction fails at the Biller's end, the amount will be auto-refunded to the source of payment within 5–7 working days. If not, contact us within 30 days for reconciliation.
• Successful recharges and bill payments are non-refundable once delivered by the Biller.
• Travel cancellations follow the underlying operator's cancellation policy displayed at the time of booking. UtillPay may charge a service fee for facilitating cancellations.
• Affiliate commissions credited to your wallet are non-reversible except in case of proven fraud, chargeback of the underlying transaction, or violation of these Terms.
• To raise a refund query, email support@utillpay.com with your transaction ID and payment proof.

Ambassador (affiliate) program

• Any UtillPay User may join the Ambassador program by opting in from the app dashboard. There is no joining fee.
• You will receive a unique referral link. You earn commission on qualifying transactions made by users who sign up through your link ("direct downline") and, up to five (5) tiers, by their downlines.
• Commission slabs are dynamic and published in the Ambassador dashboard. UtillPay may revise slabs with 15 days' notice.
• Payouts are processed every Monday to your linked bank account or UPI VPA, subject to a minimum threshold of ₹100.
• Ambassadors must not misrepresent UtillPay, spam users, use unsolicited SMS/email, or make promises of guaranteed income. Doing so will result in immediate termination and forfeiture of unpaid commissions.
• The Ambassador relationship is one of an independent contractor. Nothing in these Terms creates an employment, partnership, agency or joint-venture relationship.

User conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent or infringing purpose.
• Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems.
• Reverse-engineer, decompile or scrape the Platform.
• Use the Platform to launder money, finance terrorism, or process transactions on behalf of third parties without disclosure.
• Upload viruses, malware or content that infringes third-party rights.
• Impersonate any person or entity or misrepresent your affiliation with UtillPay.

Violations may result in immediate suspension, forfeiture of balances and reporting to law-enforcement authorities.

Intellectual property

All content on the Platform — including the UtillPay name, logo, artwork, code, designs, text and visuals — is owned by or licensed to UtillPay and protected by the Copyright Act, 1957 and the Trade Marks Act, 1999. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for personal, non-commercial purposes. All other uses require prior written consent.

Third-party services

The Platform integrates with third-party billers, banks, payment gateways, KYC agencies and travel inventory providers. Their services are subject to their own terms and policies. UtillPay is not responsible for the availability, accuracy or quality of third-party services beyond the facilitation we perform.

Disclaimers & limitation of liability

The Platform is provided on an "as-is" and "as-available" basis. UtillPay does not warrant that the Platform will be uninterrupted, error-free, or free from third-party outages, network issues or force-majeure events.

To the maximum extent permitted by law, UtillPay's aggregate liability arising out of or related to your use of the Platform, whether in contract, tort or otherwise, shall not exceed the greater of (a) ₹10,000 or (b) the transaction fees paid by you to UtillPay in the 12 months preceding the claim.

UtillPay is not liable for indirect, incidental, special, punitive or consequential damages including loss of profits, data, goodwill or opportunity.

Indemnity

You agree to indemnify, defend and hold harmless UtillPay, its directors, officers, employees and agents from and against any claims, damages, losses, liabilities and expenses (including legal fees) arising out of your breach of these Terms, misuse of the Platform, or violation of any law or third-party rights.

Termination

You may close your account at any time from the app (Settings → Account → Close) or by writing to support@utillpay.com. UtillPay may suspend or terminate your account, with or without notice, if you breach these Terms, engage in fraud, or if required by law. Sections that by their nature should survive (IP, liability, indemnity, governing law) will continue to apply after termination.

Governing law & disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to the Terms shall first be attempted to be resolved through amicable discussion. If unresolved within 30 days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Delhi, and the language shall be English. Subject to the arbitration clause, the courts at Delhi shall have exclusive jurisdiction.
